General Terms of Service
Terms for consulting, training, development and implementation services provided by AI Enter s.r.o. to clients outside the Czech Republic.
For clients with a registered office outside the Czech Republic. Clients in the Czech Republic have separate terms in Czech.
1. Who we are and when these terms apply
1.1. These General Terms of Service (“Terms”) are issued by AI Enter s.r.o., trading as ENTER, a limited liability company with its registered office at Zahradní 2004/46d, 792 01 Bruntál, Czech Republic, company registration no. 19086652, VAT no. CZ19086652, registered in the Commercial Register kept by the Regional Court in Ostrava, Section C, File 91953 (“ENTER”).
1.2. These Terms apply to consulting, training, development and implementation services provided to businesses and organisations with their registered office outside the Czech Republic (“Client”). They do not apply to consumers. Clients based in the Czech Republic are covered by separate Czech terms.
1.3. A signed contract or order prevails over these Terms. The order of precedence is: signed contract, confirmed order including its annexes, these Terms. The Client’s own terms apply only if ENTER accepts them expressly in writing.
1.4. These Terms are written in English, and English is the language of the contract unless the parties agree otherwise.
2. Formation of the contract
2.1. A contract is formed when both parties sign it or when ENTER confirms an order in writing. Email and electronic signatures count as writing.
2.2. Enquiries through the website, booked calls and non-binding proposals do not create a contract. A proposal is valid for the period stated in it, or otherwise for 30 days.
2.3. Each order sets out scope, deliverables, fees, timing and responsible people. Work outside that scope is agreed in writing with its own price and timing.
3. Our services
3.1. ENTER provides the services with professional care. It may use vetted subcontractors and remains responsible for their work.
3.2. Benefits stated in proposals are estimates, not commitments, unless the contract expressly makes them binding. Outcomes that depend on the Client’s decisions, co-operation or operations are not guaranteed.
3.3. Deliverables are handed over against an acceptance record. Defects are classed as critical, material or minor. Minor defects are not grounds for refusing acceptance; ENTER fixes them within the agreed period.
3.4. Services may be delivered remotely or on site, as set out in the order. Workshop cancellation and rescheduling terms are also set out in the order. Unless agreed otherwise, if the Client cancels less than 10 working days before the date, ENTER may charge documented costs and reserved capacity.
3.5. Operation, availability and support after go-live are provided only if agreed in the contract.
4. Client responsibilities
4.1. The Client provides documents, access, data and a contact person on time and gives feedback within a reasonable period. The Client is responsible for the accuracy of what it provides and for having the right to share it.
4.2. The Client is responsible for complying with the laws of its own jurisdiction when it introduces the solution, including employment law and any duty to inform or consult employee representatives or works councils.
4.3. Delays by the Client extend ENTER’s deadlines accordingly. ENTER may charge reasonable costs caused by such delays after giving notice.
5. Fees, tax and payment
5.1. Fees are stated in the order, in euros unless another currency is agreed, and exclude VAT and other indirect taxes. Travel and other expenses are charged only where agreed.
5.2. For business clients established in another EU Member State, services are generally invoiced without Czech VAT under the reverse-charge mechanism, provided the Client gives a valid VAT number. For clients outside the EU, VAT is treated according to the applicable place-of-supply rules.
5.3. If the Client is legally required to withhold tax from a payment, it tells ENTER in advance, and the parties co-operate to apply any relief available under a tax treaty and to provide the necessary documents.
5.4. ENTER may require an advance payment as set out in the order. Unless agreed otherwise, invoices are due within 14 days of issue. Bank charges for international payments are borne by the Client. Payment is made when the funds reach ENTER’s account.
5.5. Late payments bear statutory interest under Czech law. If a payment is more than 30 days late, ENTER may suspend the services after giving notice, and deadlines are extended accordingly.
6. Intellectual property
6.1. Unless the contract says otherwise, on full payment the Client receives a non-exclusive licence, unlimited in time and territory, to use the deliverables for its own internal purposes. The licence may not be assigned, and deliverables may not be distributed further, without ENTER’s consent.
6.2. ENTER retains its rights in its methods, general know-how, tools, libraries and components created outside the engagement or of general application. Where these form part of a deliverable, the Client receives a licence to the extent needed to use it.
6.3. Third-party software, models and services are subject to their providers’ terms. The Client obtains those licences unless agreed otherwise.
6.4. ENTER confirms that it is entitled to grant the licence and that use of the deliverables in line with the contract does not infringe third-party rights. This does not apply to materials supplied by the Client.
7. Working with AI
7.1. Outputs from AI systems may be inaccurate. The Client sets the business rules, approves selected steps and is responsible for decisions it makes based on outputs. The contract or solution documentation specifies where a person decides.
7.2. For each use, the parties clarify their roles under Regulation (EU) 2024/1689 (the AI Act). Where AI rules outside the EU apply, the Client tells ENTER and the parties agree how to address them. ENTER’s assessment is technical and organisational and does not replace legal advice. Our Responsible AI principles also apply.
7.3. ENTER does not use Client data to train AI models unless the parties expressly agree otherwise.
8. Confidentiality and personal data
8.1. Each party protects the other’s confidential information and uses it only for the purposes of the contract. This duty lasts for the duration of the engagement and for 3 years afterwards. A separate non-disclosure agreement between the parties prevails.
8.2. This duty does not cover information that is public, that a party obtained without breaching this duty, or that must be disclosed by law.
8.3. Where ENTER processes personal data for the Client, the parties enter into a data processing agreement under Article 28 of Regulation (EU) 2016/679 (GDPR). Any transfer of personal data outside the European Economic Area is made using an appropriate safeguard under the GDPR, such as the European Commission’s standard contractual clauses. Our Privacy Policy covers personal data on the website.
8.4. ENTER names a Client as a reference only with the Client’s consent.
9. Liability
9.1. Total liability for damage under a contract is limited to the fees, excluding VAT, for the services to which the damage relates. For recurring services it is the fees for the 12 months before the damage arose.
9.2. Neither party is liable for indirect or consequential loss, including loss of profit.
9.3. These limits do not apply to damage caused intentionally or through gross negligence, breach of confidentiality, breach of personal data obligations or infringement of third-party intellectual property rights, or to the duty to pay fees. Nothing in these Terms limits liability that cannot be limited under the governing law.
9.4. Neither party is liable for failure caused by an event beyond its reasonable control, such as an outage of third-party services, provided it notifies the other party without undue delay.
9.5. Warranties are given only to the extent set out in the contract.
10. Sanctions and export control
10.1. Each party complies with the sanctions and export control rules that apply to it. ENTER may suspend or end the services, without liability, if continuing would breach those rules.
11. Term and termination
11.1. A fixed-term contract ends on completion or on expiry of the term. Either party may terminate an open-ended contract by written notice of 3 months, unless agreed otherwise.
11.2. Either party may terminate for a material breach that the other party has not remedied within a reasonable further period set in writing.
11.3. On early termination, ENTER is entitled to payment for work done and reasonable costs incurred. The Client receives the deliverables it has paid for and the data it provided. The licence to paid deliverables continues.
12. Governing law and disputes
12.1. These Terms and any contract under them are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
12.2. The parties first try to resolve any dispute by negotiation. If they do not reach agreement, the competent court at ENTER’s registered office in the Czech Republic has exclusive jurisdiction, unless the contract provides otherwise.
13. Final provisions
13.1. ENTER may change these Terms because of changes in law, services or operations and publishes the new version on this website. Changes do not affect existing contracts unless the parties agree.
13.2. If any provision is invalid or unenforceable, the rest remain in force and the parties replace it with the closest valid provision.
13.3. These Terms take effect on 30 October 2026.
